## Dangote’s IPO Is Crossing Borders as African Investors Look for a Way In

When Dangote Refinery opened its public offer on September 14, the rush in Nigeria was immediate.

Investment apps struggled with the traffic. Retail investors rushed to buy as few as 10 shares for ₦5,250, and the offer quickly became one of the biggest talking points in Nigeria's investment market. Reuters reported that Bamboo alone saw a 350% increase in new accounts around the IPO.

But the interest hasn't stopped at Nigeria's borders.

Investors elsewhere in Africa are also looking for ways to participate in the refinery's IPO, exposing both the growing appetite for African investments and a much bigger problem: **Africa's capital markets still aren't particularly easy to connect.**

Kenya is now trying to solve that problem.

## Kenya wants its own route into the Dangote IPO

The Nairobi Securities Exchange is working with investment bank Renaissance Capital on a structure that would allow Kenyan investors to participate in the Dangote offer without having to navigate Nigeria's capital market directly.

The proposed solution is a **Global Depository Receipt (GDR)**.

Under the arrangement, Renaissance Capital would issue GDRs representing the underlying Dangote shares held in Nigeria. Investors would then be able to buy and trade the receipts through the Nairobi Securities Exchange in Kenyan shillings.

The proposed price is **KES 49 per GDR**, with a minimum of 10 units, or KES 490. That is broadly equivalent to the Nigerian IPO's minimum subscription of 10 shares at ₦525 each.

Stanbic Bank would act as custodian for the underlying Dangote shares.

The idea is relatively simple: instead of asking a Kenyan investor to open accounts and navigate a foreign market, create a local instrument that represents the Nigerian shares and allow the investor to trade it through the local exchange.

There is, however, one important caveat.

**Kenya's GDR route has not yet received final regulatory approval.**

As of October 1, Kenya's Capital Markets Authority said the application was still under consideration and that several outstanding issues needed to be addressed before approval. That means the proposed October 5 launch could still be delayed.

## Why not simply list the shares in Kenya?

That was apparently considered.

But getting a company listed simultaneously across several African exchanges requires multiple regulatory approvals, documentation and coordination between markets.

Dangote ultimately proceeded with the IPO in Nigeria rather than trying to launch the offer simultaneously across several exchanges.

The refinery is offering **4.1 billion shares at ₦525 each**, seeking to raise about **₦2.15 trillion**. The money is intended to support the refinery's expansion and related infrastructure.

For now, a GDR offers a quicker way to create local access without actually cross-listing the company's ordinary shares.

There is a difference, though.

A GDR is not the same thing as having the company's ordinary shares directly listed on the Nairobi exchange. The GDR represents an underlying interest in the shares, while trading and settlement happen through the local structure.

Investors may also face additional administrative costs and liquidity risks depending on how much demand develops for the GDRs.

## Zimbabwe is taking a different approach

Kenya isn't the only African market trying to connect its investors to the IPO.

In Zimbabwe, **Bard Santner Investors** has created a route for eligible local investors to participate in the Nigerian offer.

But unlike Nigeria, where someone can open an investment app and apply with as little as ₦5,250, the Zimbabwean route is much more involved.

Bard Santner says it is handling the necessary documentation and compliance requirements, while client funds are transferred through Ecobank Zimbabwe to Ecobank Nigeria. The Nigerian side then uses a nominee structure to hold the investment and submit the IPO application.

There's also a significant difference in the minimum investment.

Bard Santner's current offer requires a minimum of **US$20,000 for 50,000 shares**, with applications submitted by October 2 for processing ahead of the October 13 IPO deadline.

That is a long way from the ₦5,250 minimum available to Nigerian retail investors.

And it illustrates exactly why cross-border investing in Africa remains difficult.

The investment opportunity may be available, but the infrastructure for accessing it isn't always designed for ordinary investors.

## Africa has the investors. The markets aren't always connected.

This is what makes the Dangote IPO particularly interesting.

Dangote is selling shares in a Nigerian company, but the company has become a pan-African business story.

Kenya is now home to Dangote's plans for another major refinery in Lamu. The company broke ground on the proposed **$16 billion East African refinery** on September 30, with the project expected to have a capacity of 700,000 barrels per day.

That makes the Kenyan interest in the Lagos refinery more than just a question of investors wanting another stock.

There is already a regional connection.

Dangote has also said he wants to deepen African capital markets and has discussed the possibility of eventually cross-listing the refinery.

## Could this become bigger than Dangote?

That's the interesting question.

If Kenyan investors can buy exposure to a Nigerian company through their own exchange, and Zimbabwean investors can access the same offer through a local financial intermediary, it raises the possibility of something bigger: **African investors buying African companies without having to leave their home markets.**

Today, a Kenyan investor looking at a Nigerian stock may have to deal with foreign brokers, different regulators, currency conversion and unfamiliar settlement systems.

A Nigerian investor wanting exposure to a Kenyan company faces a similar problem.

That's a barrier to capital moving within the continent.

The African Continental Free Trade Area has often been discussed in terms of goods and services. But there is another piece of the puzzle: **capital.**

If African businesses are going to grow across borders, African investors need easier ways to invest across borders too.

The Dangote IPO is providing an unusually high-profile test of whether that infrastructure can work.

## The real test comes after the IPO

There is still a lot to prove.

Kenya's GDR structure needs regulatory approval. Zimbabwe's route currently caters to a much wealthier class of investor. And even if these mechanisms work for Dangote, it doesn't necessarily mean they will be economically viable for smaller African companies.

A company needs enough investor interest to justify the legal, regulatory, custody and listing costs involved.

That is why Dangote is such an interesting test case.

The company has the size, brand recognition and investor attention to justify the effort.

The question is whether the infrastructure being built around this IPO can eventually make cross-border investing accessible for more African companies — not just Africa's biggest names.

For now, the Dangote IPO is doing something beyond raising money for a refinery.

It is exposing one of Africa's biggest untapped financial opportunities: **getting Africans to invest more easily in businesses across the continent.**

And if Kenya's GDR eventually gets approved, the ₦525 Dangote share could become more than a Nigerian investment story.

It could be an early experiment in what a more connected African capital market might look like.
